These Terms of Service ("Terms") are a binding agreement between Hello Thesa LLC, doing business as Lead Systems Go ("Lead Systems Go," "LSG," "we," "us," or "our"), and the business that signs up for, buys, or uses any of our software, advertising, websites or other services ("Client," "you," or "your").
About our company name. Lead Systems Go is a DBA (a "doing business as" name) of Hello Thesa LLC. Hello Thesa LLC is the legal company behind Lead Systems Go. It provides the Services and is the party you are contracting with under these Terms.
Please read these Terms carefully. They include, among other things: your responsibility for your own legal compliance (Section 11), how we run ads for you, including from our own accounts (Section 12), limits on our liability (Section 25), your agreement to cover claims that come from your business and your communications (Section 26), and an agreement to resolve disputes through individual binding arbitration, with a waiver of class actions and jury trials (Section 28).
The short version
This summary is here to help you read the Terms. It does not replace them. If anything here differs from the full Terms below, the full Terms control.
- Our services are for businesses, not for consumers.
- Plans are month to month unless your offer says otherwise. Fees are charged automatically and are not refundable.
- You are responsible for making sure your texts, calls, voicemails, AI conversations, ads and offers follow the laws that apply to you and to the people you contact. Those laws differ from state to state. We set things up in good faith, but we are not your lawyer.
- When we run ads for you, including from accounts we own, you are still the advertiser and you are responsible for your offers, prices and claims.
- We do not guarantee leads, deals, sales or any other result.
- Our systems, templates, accounts, automations and know-how stay ours. The leads and contact data in your account are yours.
1. Who These Terms Cover and How You Accept Them #
1.1 When these Terms apply. These Terms apply as soon as you do any of the following: check a box or click a button to accept them, complete a checkout, pay any invoice or subscription charge, sign an order form or proposal that refers to them, or use any of our software or services. Your electronic acceptance has the same effect as a handwritten signature.
1.2 Business use only. Our services are sold only to businesses and are used only for business purposes. By accepting these Terms, you confirm that you are acting on behalf of a business and not as a consumer for personal, family or household purposes.
1.3 Authority. You confirm that you are at least 18 years old and that you have the authority to bind the business you are signing up. If you sign up on behalf of a business, "you" means that business, and the business is responsible for everything done under its account.
2. Key Terms Used Here #
- "Services" means everything we provide to you, including advertising, software access, websites, AI tools, automations, consulting, setup, reporting and support.
- "Platform" means the CRM, marketing automation, messaging, calling, scheduling and AI software we provide access to, along with any connected tools.
- "Plan" means the package, subscription, program or add-on you buy, such as Go Grow, Go Close, Go Convert, Go Scale, a website plan or a pay-per-lead program.
- "Offer Page" means the web page, checkout page, proposal or written offer that describes your Plan, its price and any special conditions at the time you bought it.
- "Order" means a signed agreement, order form, proposal or invoice between you and us that describes your Plan.
- "Client Content" means anything you give us or ask us to use, such as logos, photos, videos, testimonials, listings, inventory, prices, scripts and business information.
- "Client Data" means the contacts, leads, conversations and other records stored in your Platform account.
- "Leads" means people whose information is collected through campaigns, forms, websites or tools we run or set up for you.
- "LSG Accounts" means advertising accounts, business portfolios, pages, pixels, datasets, audiences, catalogs, lead forms, phone numbers, hosting accounts, software accounts and payment methods that we own or control.
- "LSG Materials" has the meaning in Section 16.
3. Which Document Controls #
3.1 Order of precedence. If you have signed a separate written Order with us, that Order controls where it directly conflicts with these Terms. The price, included items and special conditions shown on your Offer Page at the time of purchase are part of your agreement. Everything else is governed by these Terms.
3.2 What is not part of the agreement. Statements made in sales calls, presentations, decks, videos, ads, social posts, emails, text messages, or conversations with any person or AI assistant (including our own AI assistants) are not part of our agreement and do not create any promise, guarantee or obligation, unless they are written into an Order or appear on the Offer Page for the Plan you bought.
4. Our Services #
4.1 What we offer. Depending on your Plan, the Services may include:
- Go Grow: creating and managing advertising campaigns on platforms such as Facebook, Instagram, Google and others, including ad copy, images, video, audience research and reporting.
- Go Close: access to the Platform, including CRM and pipelines, automated follow-up, AI text, chat and voice assistants, appointment booking, and account management.
- Go Convert: websites, landing pages, web chat, Design Studio tools, search engine and AI search setup, and conversion improvements.
- Go Scale and other bundles: combinations of the above.
- Other programs and add-ons: website plans, pay-per-lead programs, local SEO and citations, social media posting, consulting, video, text-messaging registration support, and tracking or pixel setup.
4.2 Scope. Your Services are the ones listed for your Plan on your Offer Page or Order. Anything not listed is outside your Plan and may be quoted separately.
4.3 Changes to how we deliver. We may change, add, replace or retire features, tools, vendors, methods and team members at any time, as long as the overall Services you pay for stay substantially similar. Some features depend on third parties and may change or become unavailable because of them.
4.4 Timelines. Any timeline we give is an estimate, not a promise. Timelines are extended by delays outside our control, including waiting on your information, access or approvals, and waiting on third parties such as ad platform reviews or text-messaging registration.
4.5 Who does the work. We may use employees, contractors, service providers and automated or AI tools to provide the Services.
4.6 Support. We provide support through the channels we make available, during our normal business hours. Any response time we mention is a goal, not a guarantee.
5. Software and Platform Access #
5.1 Your license. While your Plan is active and paid, we give you a limited, non-exclusive, non-transferable, revocable right to use the Platform for your own internal business purposes. You do not get ownership of the Platform or any rights in the software it is built on.
5.2 Built on third-party software. The Platform is built on and connected to software that we license from third parties. Its features, availability, limits and pricing are partly controlled by those third parties.
5.3 Users and logins. You are responsible for everything done under your account and your users' logins. Keep login details confidential, remove users who should no longer have access, and tell us promptly if you believe your account has been accessed without permission.
5.4 What you may not do. You may not, and may not let anyone else:
- resell, sublicense, rent or white-label the Platform or Services;
- copy, export or recreate our templates, workflows, automations, snapshots, AI prompts or configurations for use outside your account;
- reverse engineer, scrape, or try to access parts of the Platform you are not given access to;
- use the Platform to send spam or any message that violates law, carrier rules or platform rules;
- send content in categories that carriers or platforms restrict, unless we approve it in writing;
- upload malicious code or interfere with the Platform or other users; or
- use the Platform or our materials to build or support a competing product or service.
5.5 Usage-based charges. Text messages, phone calls and minutes, phone numbers, AI usage, email sending, text-messaging registration fees and premium features may carry usage charges. Unless your Plan expressly includes them, we may bill those charges to you at our then-current rates or pass through the charges our providers bill us. We may limit or slow unusually high volumes to protect the Platform and our other clients.
5.6 No uptime promise. We do not promise that the Platform will be available at all times, free of errors, or free of interruptions.
6. Fees, Billing and Payment #
6.1 Fees. You agree to pay the fees for your Plan as shown on your Offer Page or Order.
6.2 Automatic recurring billing. You authorize us and our payment processor to charge your payment method automatically at the start of each billing period, along with any usage charges, reimbursable ad spend, taxes and other amounts due, until your Plan is cancelled. Keep your payment information current.
6.3 Billing dates. Your first charge happens when you sign up, unless your Offer Page or Order says otherwise. Your Plan renews on the same day each billing period.
6.4 Taxes. Fees do not include taxes. You are responsible for any sales, use or similar taxes on your purchases, other than taxes on our income.
6.5 Failed or late payments. If a payment fails or is late, we may retry the charge and may suspend some or all Services, including ads, AI assistants, messaging, phone numbers, websites and Platform access, after notice to you (email is enough), until your account is paid. Fees continue to accrue while Services are suspended. Overdue amounts may accrue interest at 1.5% per month or the highest rate allowed by law, whichever is lower. You agree to pay our reasonable costs of collecting overdue amounts, including attorneys' fees and collection agency fees.
6.6 Price changes. We may change our fees for future billing periods by giving you at least 30 days' notice by email. If your Offer Page says your rate is locked, we will honor that lock for as long as its stated conditions are met. Unless the Offer Page says otherwise, a locked or promotional rate ends if your Plan is cancelled, downgraded, or paused, or if a payment stays unpaid for more than 10 days.
6.7 No refunds. All fees are non-refundable, including setup fees and fees for partial months, unused Services or features you chose not to use. We do not prorate fees when you cancel or downgrade, except where these Terms expressly say otherwise.
6.8 Billing questions. If you believe a charge is wrong, tell us in writing within 30 days of the charge. Charges you do not dispute within that time are considered accepted.
6.9 Chargebacks. You agree to contact us first to resolve any billing concern. Filing a chargeback or payment dispute for amounts owed under these Terms is a breach of these Terms. If you do, we may suspend Services immediately, and you remain responsible for the amounts owed plus any chargeback fees and collection costs. We may share these Terms and records of your purchase and use of the Services with the payment processor or card issuer.
7. Advertising Spend and Ad Credits #
7.1 Ad spend is separate. Advertising spend (the money paid to ad platforms to show your ads) is separate from our fees, unless your Offer Page or Order says it is included or covered.
7.2 Ads billed to your own payment method. When ads run in an account billed to your payment method, the ad platform charges you directly and you are responsible to that platform for those charges.
7.3 Ads we pay for and bill to you. When we pay an ad platform for your ads and bill you for it, you agree to reimburse us as stated on your Offer Page or Order. We may require payment of your ad budget before ads run. We are not required to front ad spend for you. If you do not pay ad spend when due, we may pause your ads.
7.4 Budgets are targets. Ad platforms control how and when ads deliver, and they may spend more or less than a daily or monthly budget in a given period. We make reasonable efforts to keep spend near the budget we agree on. Normal platform variations are not a reason for a refund or credit.
7.5 Spent ad funds. Ad spend already paid or committed to an ad platform is non-refundable. If you prepaid ad budget that has not been spent or committed when your Services end, we will apply it to any balance you owe and refund any remainder within 30 days, less charges the platform has not yet billed.
7.6 Ad credits and ad spend we cover. Some Plans and promotions include ad spend that we cover, or an ad credit. Unless the Offer Page says otherwise:
- it has no cash value, cannot be exchanged for cash, and cannot be transferred;
- it applies only while your Plan is active, paid and in good standing;
- any amount not used in a billing period does not roll over;
- it ends immediately if your Plan is cancelled, downgraded or paused, or if a payment is late;
- the amount is a maximum, not a promise that the full amount will be spent; and
- we decide how it is paced, which platforms it is used on, and how it is allocated across your campaigns.
8. Pay-Per-Lead Programs #
8.1 What counts as a lead. In a pay-per-lead program, a billable lead is a submitted form or other event as defined on your Offer Page. Unless the Offer Page says otherwise, a lead is billable when the form is submitted, whether or not the person responds, qualifies, books an appointment or buys.
8.2 Credits. We give credits only for the lead types the Offer Page lists as creditable. A credit request must be made in writing within 7 days after the lead is delivered. We decide credit requests based on a reasonable review, and our decision is final.
8.3 No volume guarantee. We do not guarantee the number of leads or when they will arrive. We may pause, cap, adjust or end campaigns at any time.
8.4 Prepaid balances. Prepaid lead balances and lead packs are non-refundable and are delivered as campaigns allow.
9. Website Services #
9.1 Builds and revisions. We design and build websites using our own process. Your Plan includes the pages, features and revisions described on your Offer Page. Additional pages, features or work are quoted separately.
9.2 Your content. You are responsible for giving us accurate content and for the accuracy of everything on your website about your business, including prices, inventory, availability, financing, licensing and claims.
9.3 Hosting. When we host your website, it is hosted in LSG Accounts, subject to any usage limits on your Offer Page. We do not promise that it will always be online. We may move your website to a different hosting provider.
9.4 Domains. Your domain name is registered in your name and paid for by you, unless we agree otherwise in writing. Keeping your domain renewed is your responsibility. We are not responsible if a domain expires, is lost or stops working because of an expired payment method, a missed renewal, or changes made by you or your registrar.
9.5 Included updates. If your Plan includes a set number of updates per period, unused updates do not roll over.
9.6 Who owns the website. Until you meet the ownership conditions on your Offer Page (for example, a number of paid months or a one-time buyout), the website's design, code and files belong to us and are licensed to you only while your Plan is active and paid. If your Plan ends before you meet those conditions, we may take the website down, and you may not copy or recreate its design or code. Once you meet the conditions, we will deliver the website files to you and you will own them, except for third-party and LSG components that cannot be transferred, such as licensed fonts, stock images, plugins, chat widgets, forms, booking tools, Platform integrations and LSG Materials. After delivery, hosting, maintenance and security are your responsibility. Delivered files are provided as they are.
9.7 Tracking, privacy notices and consent banners. We install your analytics and advertising pixels when you provide them. Your website's privacy policy, cookie notices, consent banners and data practices are your responsibility. If we provide a template or default text, it is a courtesy and is not legal advice.
9.8 Accessibility. We do not promise that any website meets accessibility standards or laws, such as the ADA or WCAG guidelines, unless accessibility work is purchased as a separate service under a written Order.
9.9 Search and AI visibility. Search engines and AI tools decide what they show. We do not guarantee rankings, traffic, indexing, or that your business will appear in search results or AI-generated answers.
10. Your General Responsibilities #
You agree to:
- give us timely access to the accounts, pages, domains, logins, information and approvals we need, and keep that access active;
- make sure all information you give us is true, complete and current, and that you have the right to give it to us;
- follow up with your leads and customers promptly and professionally, since results depend heavily on your own follow-up, pricing, inventory and sales process;
- monitor your account, your conversations and your AI assistants' replies, and tell us promptly about any problem;
- hold every license, permit and registration your business needs; and
- keep your own copies of your important data and content.
11. Legal Compliance Is Your Responsibility #
11.1 Your business, offers and communications. You alone are responsible for making sure that your business, products, services, prices, offers, advertising claims and every communication sent to your leads and customers comply with all laws, regulations, rules and industry standards that apply to you and to the people you contact, wherever they are located. This includes communications sent by you, by your team, and through the Platform or Services on your behalf.
11.2 Laws that may apply. Examples include, but are not limited to: the Telephone Consumer Protection Act and FCC rules, the Telemarketing Sales Rule, the National Do Not Call Registry and state do-not-call lists, state telemarketing and "mini-TCPA" laws, state limits on calling and texting times, state telemarketer registration requirements, the CAN-SPAM Act, call recording and wiretap laws, laws on artificial, prerecorded and AI-generated voices, AI and chatbot disclosure laws, state privacy and data security laws, federal and state fair housing laws, fair lending and consumer credit laws, real estate, manufactured housing and wholesaling licensing and advertising laws, investment adviser and securities marketing rules, insurance marketing rules, and federal and state consumer protection laws (including rules on endorsements, testimonials, reviews, pricing, "free" offers and earnings claims). These laws differ from state to state and change often.
11.3 State-by-state differences. Texting, automated calls, AI voice calls, messages sent in the evening, overnight, on weekends or on holidays, voicemail drops (including ringless voicemail), call recording, follow-up frequency, and contacting people in other time zones may be allowed in some states and restricted or prohibited in others. It is your responsibility to learn which rules apply to you and to the people you contact, and to tell us in writing about any restriction you want applied to your account.
11.4 Consent and do-not-call. You represent and warrant that:
- you have, and will keep records of, every consent the law requires before anyone is called, texted, emailed, left a voicemail, or contacted by an automated system or AI assistant on your behalf;
- you will honor opt-out and do-not-call requests promptly on every channel, including channels outside the Platform;
- you will check numbers against do-not-call registries where the law requires it; and
- you will not upload, import or message purchased, rented, scraped or third-party lists without the consent the law requires.
11.5 Settings and defaults are your decision. The Platform lets you, and us at your direction, set message timing, quiet hours, time zones, send windows, follow-up sequences, AI assistant behavior, after-hours replies, voicemail drops, call routing and call recording. We may set up defaults or templates as a starting point based on our general experience. Defaults and templates are not legal advice and are not a statement that they comply with the law in your situation. You are responsible for reviewing and approving the settings in your account, including changes we make at your request.
11.6 Consent language on forms. As a courtesy, we may write or set up opt-in and consent language on lead forms, landing pages, websites and chat widgets. You are responsible for reviewing it, confirming that it meets the law for the way you will contact people, and keeping proof of consent.
11.7 Text-messaging registration and carrier rules. Business texting in the United States generally requires brand and campaign registration and compliance with carrier and industry messaging rules. If we help register your business, we rely on the information you give us. Approval, sending limits and fees are set by carriers and registries, not by us. Messages may be filtered, delayed or blocked. We are not responsible for rejections, delays, filtering or carrier fees. Fines, penalties or fees caused by your messaging are your responsibility and may be billed to you.
11.8 We are not your lawyer. We are a marketing and technology company, not a law firm. Nothing we say or provide, including templates, settings, consent language, policies, recommendations and AI assistant answers, is legal, compliance, tax, financial or other professional advice. Please talk to your own attorney about what applies to your business. Our good-faith efforts to follow the rules do not shift your compliance responsibility to us.
11.9 Our right to refuse or stop. We may decline to send, pause, edit or remove any communication, campaign, ad, automation, AI assistant or content, or suspend your account, if we believe in good faith that it may violate the law, platform rules or carrier rules, or create risk for us or our other clients. We have no duty to monitor your account or communications, and a decision not to act is not approval.
12. Advertising for You, Including Through Our Accounts #
12.1 How we run ads. We may run your ads through your own ad accounts and pages, or through LSG Accounts, whichever we decide works best for your campaigns.
12.2 You are the advertiser. Ads we run for you promote your business, products, services and offers, even when they run from LSG Accounts. You are responsible for the offers, prices, availability, financing terms, claims, licenses, disclosures and everything else about your business that appears in, or is implied by, those ads and their landing pages and lead forms.
12.3 How we create ads. We write ad copy and create images, video and landing pages using our experience, our research, AI tools and the information you give us. We work in good faith to follow ad platform policies and to avoid misleading or unlawful ads. We do not know every detail of your business, your local laws or your licensing requirements, and we rely on you to tell us.
12.4 Your review and approval. Review the ads, offers and claims we share with you, and tell us right away about anything that is inaccurate, unapproved or unlawful. Ads may go live without your separate approval of each ad. An ad is treated as approved by you if it runs with your knowledge, or if you do not object in writing within 2 business days after we share it with you or after it goes live, whichever comes first. You may ask us to change or pause an ad at any time, and we will make reasonable efforts to do so promptly. Whether or not you review a particular ad, you remain responsible for the accuracy and legality of your offers and the information you provided.
12.5 Housing, credit, employment and other special categories. Ads about housing, credit, employment and certain other topics are subject to special platform rules and to anti-discrimination laws, and platforms may limit the targeting options for them. You agree not to ask us to target or exclude people in any way that violates those laws or rules. We are not responsible for how a platform classifies, restricts or rejects your ads.
12.6 Platforms are in control. Ad platforms may reject, limit, restrict, disable or remove ads, pages, pixels and accounts at their discretion, and may change their policies, targeting options, algorithms and prices at any time. We are not responsible for those actions or their effect on your results. We do not guarantee ad approval, delivery, reach or cost per result.
12.7 Protecting our accounts. Because LSG Accounts serve many clients, we may stop running your ads from LSG Accounts at any time, move them to your own accounts, or change how they run. Section 26 applies if your products, offers, content, landing pages or business practices cause an LSG Account, page, pixel or payment method to be restricted, penalized or disabled.
12.8 Our accounts stay ours. LSG Accounts and everything in them belong to us, including pixels, datasets, conversion data, audiences, lookalike audiences, campaign structures, account history, page followers, comments, insights, reports and learning. When your Services end, you do not receive access to, or a transfer of, any LSG Account or its data. You keep the Leads already delivered to you. If you ask, and your account is paid in full, we will provide copies of the final ad copy and images we created and ran specifically for you, for use in your own business. Templates and other LSG Materials are not included.
12.9 Measurement data and shared learning. To improve ad performance, we may send lead and conversion events (for example, a form submission or a change in a lead's pipeline stage) from the Platform to ad platforms, through datasets in LSG Accounts or in your accounts. These events may include contact information, which is hashed where the platform supports it. Datasets and audiences in LSG Accounts may combine signals from multiple clients in the same or similar industries, which means signals from your Leads may help optimize campaigns for other clients, and theirs may help yours. We do not give other clients access to your Leads or their contact details. You authorize this use and are responsible for making sure your own privacy notices and consents allow it. You may ask us in writing to stop including your data in shared datasets going forward, which may reduce your results.
12.10 Leads. Leads collected through your campaigns are delivered to you, usually into your Platform account. From the moment a Lead is delivered, contacting that Lead lawfully is your responsibility, including through automations and AI assistants you have chosen to use. We do not verify a Lead's identity, intent, eligibility to buy, phone line type, or consent beyond what the form collects.
12.11 Social media. If your Plan includes posting to your social media pages, you authorize us to post on your behalf. You are responsible for the accuracy of information you provide for posts and, unless your Plan includes it, for responding to comments and messages. We are not responsible for comments or messages posted by others.
13. AI-Powered Tools #
13.1 How we use AI. We use artificial intelligence in many parts of the Services, including drafting copy, creating images, video and voices, AI text, chat and voice assistants that talk with your leads, call answering, transcription and summaries, lead scoring and reporting.
13.2 AI can be wrong. AI output may be inaccurate, incomplete, inconsistent or unexpected. AI assistants may misunderstand people, give wrong information, fail to respond, respond at unexpected times, make statements or commitments you did not authorize, or handle a conversation poorly. We set up AI assistants in good faith using the information you give us, but we cannot control every response.
13.3 Your role. You agree to:
- regularly review your AI assistants' instructions, knowledge base and conversations, and tell us promptly about errors;
- give us accurate, current business information, such as prices, policies and availability;
- decide whether to use AI for any particular purpose; and
- not use AI assistants to give legal, financial, tax, lending, insurance or other licensed advice, or to make binding offers.
Statements made by an AI assistant are not promises or representations by LSG.
13.4 Disclosure. Some laws require telling people that they are communicating with AI or an automated system, or that a call uses an artificial voice. We may set up AI assistants to identify themselves as AI assistants. Meeting the disclosure laws that apply to you and the people you contact is your responsibility.
13.5 AI-generated content. AI-generated images, video and voices can look and sound realistic. You are responsible for making sure that your use of them does not mislead anyone about the products, homes, features or services you actually offer, including labeling images as illustrations where appropriate. AI-generated content may not be protected by copyright and may resemble existing works. We do not promise that AI-generated content is unique or exclusive to you, or that it does not resemble or infringe another work.
13.6 AI providers. Information in your account and conversations may be processed by AI service providers to deliver the Services, subject to their terms.
14. Calls, Recordings and Transcripts #
The Platform may record, transcribe and summarize calls and voicemails, including AI calls. Recording laws vary, and some require the consent of everyone on the call. You are responsible for any recording settings you choose and for giving notice and getting consent where required. We may use recordings, transcripts and summaries to provide, support, troubleshoot and improve the Services.
15. Your Content and Your Data #
15.1 Your content. You grant us a non-exclusive, royalty-free license to use, copy, edit, adapt, display and publish Client Content to provide the Services, including in ads and on websites. This license continues after your Services end for ads that are still finishing their run and for archived reports and records. You represent and warrant that you have all rights, consents and releases needed for Client Content (including from people shown in photos and video and from customers whose testimonials you provide), and that it is accurate and lawful.
15.2 Your data. Client Data belongs to you. We access and use it to provide the Services, to give support, to comply with law, and to improve the Services, including in aggregated or de-identified form. We do not sell your Client Data.
15.3 Aggregated data. We may create and use aggregated or de-identified data, such as industry benchmarks, for any lawful purpose, including our own marketing, as long as it does not identify you or your contacts.
15.4 Your privacy responsibilities. You are the business responsible for the personal information of your leads and customers. You agree to give any privacy notices the law requires, respond to privacy requests from your contacts, and only give us data you are allowed to share. For that data, we act as your service provider.
15.5 Security. We use reasonable administrative, technical and physical safeguards. No system is completely secure, and we do not guarantee security. We are not responsible for unauthorized access that we could not reasonably prevent, or that comes from your users, logins or devices, or from third-party platforms.
15.6 Getting your data when you leave. You can request an export of your contacts and other available data until 30 days after your Services end. Exports are provided in the Platform's standard format where available. After that period, we may delete your account and data without liability.
15.7 Phone numbers. Phone numbers provided through the Platform are held in our Platform accounts. If you want to keep a number, ask us before your Services end. We will make reasonable efforts to help you transfer it where the carrier and the Platform allow, as long as your account is paid in full. Numbers that are not transferred within 30 days after your Services end may be released.
16. Our Intellectual Property #
16.1 LSG Materials. "LSG Materials" means our names and logos (including Lead Systems Go, Go Grow, Go Close, Go Convert, Go Scale and Design Studio), and our methods, frameworks, processes, playbooks, scripts, templates, snapshots, workflows, automations, pipelines, AI assistant prompts and configurations, knowledge bases we create, ad and website templates, code, tools, report formats, training materials and know-how, together with all improvements to them. This applies whether they were created before or during our work with you, and includes anything we build while serving you. LSG Materials are and remain our exclusive property.
16.2 Your license to LSG Materials. While your Plan is active and paid, you may use LSG Materials only as part of the Services and only for your internal business. When your Services end, this license ends. We may remove our workflows, automations, AI assistants, templates and snapshots from your account, and you may not copy, export or recreate them.
16.3 Ad creative made for you. Once your account is paid in full, you may use the final ad copy and images we created specifically for you in your own business. We keep all rights in the templates, layouts, styles and other non-client-specific parts of that work and may reuse them. Websites are covered by Section 9.6.
16.4 Feedback. If you give us suggestions or feedback, we may use them freely without any obligation to you.
16.5 Portfolio. We may name you as a client, show your name and logo, and show examples of work we did for you, with confidential information removed. We will ask for your permission before publishing a testimonial from you or specific results attributed to you by name.
17. Exclusivity, Service Areas and Our Affiliates #
17.1 No exclusivity unless written. Unless your Offer Page or Order expressly grants exclusivity in writing, we may work with any business, including your competitors.
17.2 Area commitments. If we agree in writing to limit the number of clients we take in an area, that commitment:
- covers only the services, industry or niche, and area described in writing, or, if the area is not specifically described, the area as we reasonably define it;
- does not cover businesses in a different niche that are not pursuing the same customers;
- does not restrict our own businesses, our affiliates, or clients we already served before you signed up;
- ends automatically if your Plan is cancelled, downgraded or paused, or if a payment stays unpaid for more than 10 days; and
- does not prevent other businesses from advertising in your area through other providers, or ad platforms from delivering ads in overlapping areas.
17.3 Our affiliates. Our owners and affiliates own and operate other businesses, including businesses in industries our clients serve, such as manufactured housing. Nothing in these Terms limits those businesses. We will not use your Client Data or your Confidential Information to compete with you.
18. Confidentiality #
18.1 What is confidential. "Confidential Information" means non-public information one party shares with the other that is marked confidential or that a reasonable person would understand to be confidential. Our pricing, processes, templates, AI prompts, automations and account structures are our Confidential Information.
18.2 What each party agrees to. Each party will use the other's Confidential Information only to perform under these Terms and will protect it with reasonable care.
18.3 Exceptions. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to the receiving party, is independently developed, or is lawfully received from someone else. A party may disclose Confidential Information when required by law, after giving the other party reasonable notice where the law allows.
18.4 How long it lasts. These obligations last for 2 years after your Services end, and for trade secrets, for as long as they remain trade secrets.
19. Non-Solicitation #
While you are a client and for 12 months afterward, you will not directly hire or engage any of our employees or contractors who worked on your account without our written consent.
20. Term, Cancellation and Termination #
20.1 Term. Your Plan begins when you accept these Terms or make your first payment. It continues month to month, or for the period stated on your Offer Page or Order, and renews automatically until cancelled.
20.2 How you cancel. You can cancel at any time by written notice to ivan@leadsystemsgo.com or through another channel we designate. To avoid being charged for the next billing period, your notice must reach us at least 7 days before your next renewal date. Cancellation takes effect at the end of your current paid billing period, and your Services continue until then.
20.3 Minimum terms, setup fees and buyouts. If your Offer Page or Order includes a minimum term, setup fee or buyout, those terms apply. Cancelling early does not cancel amounts you already owe.
20.4 How we may end your Services. We may end your Services for any reason with 30 days' notice. If we end your Services for a reason other than your breach, we will refund any prepaid fees for periods after the end date. We may end your Services immediately, with no refund, if you fail to pay, breach these Terms, file a chargeback, create legal or compliance risk, receive platform or carrier complaints, or treat our team abusively.
20.5 What happens when Services end. When your Services end, for any reason:
- all amounts you owe become due immediately;
- your licenses to the Platform and LSG Materials end;
- we stop managing your ads and may pause or remove campaigns running in LSG Accounts;
- we may turn off your AI assistants, automations, messaging and phone numbers, and remove your Platform access;
- websites we host may be taken down, subject to Section 9.6; and
- you may request a data export under Section 15.6.
We are not responsible for leads, messages or calls that are missed after Services end.
20.6 Downgrades and promotional benefits. If you downgrade, included features change to those of your new Plan, and promotional benefits (such as locked rates, ad credits and area commitments) may end.
20.7 Coming back. If you return after cancelling, your Plan may be priced at our then-current rates and may require a new setup fee.
20.8 What continues after the end. Sections that by their nature should continue after your Services end will continue, including Sections 6, 7.5, 9.6, 11, 12.8, 15, 16, 18, 19, 22 through 26, 28, 29 and 31.
21. Suspension #
We may suspend some or all Services immediately, with or without notice, if a payment fails, if we believe in good faith that your account or communications may violate the law, these Terms, platform rules or carrier rules, if we receive complaints or carrier or platform warnings about your account, or if suspension is needed to protect us, our other clients, the Platform or LSG Accounts. Fees continue to accrue during suspension.
22. No Guarantee of Results #
22.1 Results depend on many things we do not control. These include your market, pricing, inventory, offer, follow-up, response speed, sales skills, reputation, competition, seasonality, the economy, platform algorithms and how leads behave. We do not guarantee any number or quality of leads, appointments, conversations, deals, sales, revenue, return on ad spend, cost per lead, rankings or other results.
22.2 Examples are not promises. Examples, case studies, testimonials, averages, projections, calculators and estimates, whether shared in sales calls, decks, videos, ads, websites or AI conversations, are for illustration only and are not promises. Your results will vary.
22.3 Written guarantees only. A performance guarantee or promotional promise applies only if it is written on your Offer Page or in a signed Order, and only under the conditions stated there. The remedy stated there (such as a fee reduction or service credit) is your sole and exclusive remedy, and it is not a cash refund unless the written terms say so.
23. Disclaimer of Warranties #
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, THE PLATFORM, WEBSITES, AI OUTPUT, DATA, REPORTS AND ALL DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT THEY WILL COMPLY WITH THE LAWS THAT APPLY TO YOU OR TO THE PEOPLE YOU CONTACT.
24. Third-Party Services #
24.1 We rely on third parties. The Services rely on third parties, including ad platforms, software providers, telecom carriers and messaging providers, email services, AI providers, payment processors, hosting providers, domain registrars, data providers and scheduling tools. Their terms apply to your use of their services, and you agree to follow them, including their acceptable use and messaging policies. We can provide copies of the policies that apply to the Platform on request.
24.2 We are not responsible for them. We are not responsible for third parties' actions or failures, outages, data loss, policy or price changes, account actions, or decisions to discontinue a service. If a third party raises its prices or ends a service, we may pass through the increased cost or substitute a comparable service.
24.3 Third-party data. Any third-party data or audiences we use are provided as they are. We do not guarantee their accuracy, and you may not resell or extract them.
25. Limitation of Liability #
25.1 Types of damages we are not liable for. TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DEALS, GOODWILL OR DATA, BUSINESS INTERRUPTION, COSTS OF SUBSTITUTE SERVICES, REGULATORY FINES OR PENALTIES, OR CLAIMS BY YOUR LEADS OR CUSTOMERS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
25.2 Specific matters we are not liable for. WITHOUT LIMITING SECTION 25.1, WE ARE NOT LIABLE FOR:
- CALLS, TEXTS, EMAILS, VOICEMAILS, AI CONVERSATIONS OR OTHER COMMUNICATIONS SENT BY YOU OR THROUGH THE PLATFORM OR SERVICES ON YOUR BEHALF;
- STATEMENTS MADE BY AI ASSISTANTS;
- AD REJECTIONS, ACCOUNT RESTRICTIONS AND OTHER PLATFORM ACTIONS;
- FAILURES OF THIRD-PARTY SERVICES;
- LEADS OR MESSAGES LOST BECAUSE OF OUTAGES OR ERRORS;
- CONTENT YOU PROVIDED OR APPROVED;
- ACTIONS TAKEN AT YOUR DIRECTION; OR
- LOSS OF DATA.
25.3 Cap on our total liability. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE FEES YOU ACTUALLY PAID US FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE 3 MONTHS BEFORE THE EVENT THAT CAUSED IT. AD SPEND, USAGE CHARGES AND TAXES DO NOT COUNT TOWARD THIS AMOUNT.
25.4 How these limits apply. These limits apply to every legal theory, including contract, tort, negligence, strict liability and statute. They are an essential part of the bargain between us, and our prices reflect them.
26. Indemnification #
26.1 What you agree to cover. You will defend, indemnify and hold harmless LSG, Hello Thesa LLC, our affiliates, and our and their owners, members, managers, employees, contractors and agents, from and against all claims, demands, lawsuits, investigations, regulatory actions, fines, penalties, damages, losses, settlements, costs and expenses (including reasonable attorneys' fees) that arise from or relate to:
- 1. your business, products, services, offers, prices, inventory and financing, and your dealings with your leads and customers;
- 2. Client Content and any information you provide;
- 3. ads, landing pages, websites, forms and other content run for you, to the extent based on information, offers, claims or materials you provided, approved or failed to correct;
- 4. calls, texts, emails, voicemails, AI conversations and other communications sent by you, or through the Platform or Services on your behalf, including claims under the Telephone Consumer Protection Act, the Telemarketing Sales Rule, do-not-call rules, state telemarketing laws, recording laws and anti-spam laws;
- 5. your actual or alleged violation of any law or of anyone's rights, including privacy, consent, fair housing, lending, licensing and advertising laws;
- 6. your breach of these Terms;
- 7. the acts of your users; and
- 8. any restriction or penalty on LSG Accounts caused by your content, offers or business practices.
26.2 How it works. We will tell you about any claim covered by this section. We may choose our own counsel at your expense, or let you control the defense. You may not settle a claim in a way that imposes any obligation or admission on us without our written consent.
27. How We Communicate With You #
27.1 Electronic notices. You agree that we may give you notices and other communications electronically, including by email, text message, in the Platform, or by posting them on our website.
27.2 Calls and texts from us. You agree that we may call, text and email you at the numbers and addresses you give us about your account, the Services, billing and our offers, including by automated systems, AI assistants and prerecorded or artificial voice messages. Message frequency varies. Message and data rates may apply. Reply STOP to stop receiving texts or HELP for help. Agreeing to marketing messages is not a condition of any purchase. You can opt out of marketing messages and still receive the account messages we need to send to provide the Services.
28. Disputes, Arbitration and Class Action Waiver #
28.1 Talk to us first. Before starting any formal proceeding, the party with a dispute must send the other a written description of it, and both parties will try in good faith to resolve it for 30 days.
28.2 Binding arbitration. If the dispute is not resolved, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Travis County, Texas (or by video if both parties agree). The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court with jurisdiction.
28.3 Exceptions. Either party may bring an individual claim in small claims court, or ask a court for an injunction to stop misuse of intellectual property or Confidential Information. We may also bring an action in court to collect unpaid amounts.
28.4 No class actions. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding.
28.5 No jury trial. To the extent any dispute is decided in court, each party waives its right to a jury trial.
28.6 Time limit. Any claim against us must be brought within 1 year after it arose, or it is permanently barred.
28.7 If part of this section is unenforceable. If the class action waiver is found unenforceable for a particular claim, that claim will be decided in court under Section 29, and the rest of this section continues to apply to every other claim.
29. Governing Law and Venue #
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs Section 28. For any matter allowed to proceed in court, the parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.
30. Changes to These Terms #
We may update these Terms from time to time. Updated Terms take effect when posted on this page with a new "Last updated" date. If you are an active client and the change is material, we will make reasonable efforts to notify you by email, and the change will apply to you starting with your next billing period. If you continue to use or pay for the Services after that, you accept the updated Terms.
31. General Terms #
- Entire agreement. These Terms, your Offer Page and any Order are the entire agreement between us about the Services and replace any earlier discussions or agreements on the same subject.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them to an affiliate or to a successor in a merger, acquisition or sale of our business.
- Relationship. We are an independent contractor. Nothing in these Terms creates a partnership, joint venture or employment relationship. We act on your behalf only to the limited extent needed to place ads and send communications at your direction.
- Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including platform outages, carrier actions, internet failures, cyberattacks, government action, natural disasters, labor disputes and public health emergencies.
- Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent allowed, and the rest of the Terms will remain in effect.
- No waiver. Our failure to enforce any part of these Terms is not a waiver of our right to enforce it later.
- Notices. Notices to us go to ivan@leadsystemsgo.com. Notices to you go to the email address on your account.
- Interpretation. Headings are for convenience only. "Including" means "including without limitation."
- No third-party beneficiaries. Except for the people covered by Section 26, no one other than you and us has rights under these Terms.
